1. General

These Terms of Service (“Terms”) govern your access to and use of all websites, applications, platforms, content, products, services, memberships, newsletters, educational materials, research publications, reports, software tools, subscription products, AI-powered tools, advisory sessions, digital products, and any related services (collectively, the “Site” or the “Services”) operated by Paneah LLC (“Paneah,” “Company,” “we,” “us,” or “our”) in connection with economist, researcher, educator, and public commentator Paola Villa.

By accessing, using, or purchasing from the Site, you agree to be bound by these Terms, our Privacy Policy, Earnings Disclaimer, Refund Policy, DMCA Policy, and any additional terms specific to particular products or services.

We reserve the right to modify these Terms at any time. Modified terms become effective upon posting. Continued use of the Site after modifications constitutes acceptance of the updated Terms.

 

2. Eligibility

The Services are intended for individuals 18 years of age or older. By accessing the Services, you represent that you meet this age requirement. We reserve the right to refuse access to any person at our discretion.

 

3. Accounts and Registration

Certain features require account creation. You agree to provide true, accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your password and account credentials
  • All activities that occur under your account, whether by you or others
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring you log out at the end of each session on shared devices

Accounts are personal and may not be shared, sold, or transferred. Paneah is not liable for losses arising from your failure to protect your account credentials. We reserve the right to suspend or terminate accounts that contain false information or that violate these Terms.

 

4. Intellectual Property Rights

  1. Ownership

All content available through the Services — including but not limited to text, articles, research reports, economic analyses, newsletters, video scripts, recorded sessions, educational materials, course content, spreadsheets, e-books, journals, dashboards, software interfaces, intelligence systems, AI workflows, methodologies, frameworks, models, prompts, algorithms, datasets, graphics, logos, trademarks, and branding — is the sole and exclusive property of Paneah LLC and/or Paola Villa, or is used under license, and is protected by applicable copyright, trademark, trade secret, and intellectual property laws.

  1. Our Limited License to You

Subject to these Terms, Paneah grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial purposes. You may download and print individual pages for personal use only, provided you retain all copyright and proprietary notices. No other rights are granted.

  1. Prohibited Uses of Content

You expressly agree that you will NOT, without prior express written authorization from Paneah:

  • Reproduce, copy, republish, distribute, transmit, sell, lease, or commercially exploit any content from the Services
  • Scrape, crawl, harvest, or use any automated tools, bots, or scripts to extract content, data, or information from the Services
  • Use any content, data, prompts, methodology, output, or materials from the Services to train, fine-tune, evaluate, benchmark, or develop artificial intelligence models, large language models, machine learning systems, foundation models, or any similar technologies, whether for commercial or non-commercial purposes
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code, models, weights, or proprietary methods of any software, dashboard, intelligence system, or tool offered through the Services
  • Remove, alter, obscure, or circumvent any copyright, trademark, watermark, or proprietary notice
  • Create derivative works based on Services content
  • Use any content in a manner that misrepresents its source or implies endorsement by Paola Villa or Paneah
  • Repackage, resell, or commercially redistribute any content, report, research output, course material, or digital product
  • Frame, mirror, or inline-link Services content into another website or service
  • Bypass paywalls, subscription gates, login requirements, or rate limits
  • Share, disseminate, broadcast, or otherwise make Services content available to third parties, including by caching, framing, or deep-linking

Violation of these restrictions may result in immediate termination of your access, monetary damages, and other legal remedies including injunctive relief.

  1. Your License to Us (User-Submitted Content)

By submitting material — including comments, testimonials, feedback, forum posts, photos, videos, or any other contribution — you represent that (i) you own the material or have express consent from the owner, and (ii) you are 18 years of age or older.

You grant Paneah LLC and our authorized parties a royalty-free, perpetual, worldwide, non-exclusive, transferable, sublicensable license to reproduce, modify, process, distribute, display, perform, create derivative works from, and otherwise use and exploit such material in any medium, now known or hereafter developed, (a) to perform our obligations under these Terms, (b) to provide and operate the Services, (c) to maintain, secure, and improve the Services and to develop new content and services, including building and training Paneah’s artificial intelligence models, (d) to comply with legal obligations and enforce our rights under these Terms, and (e) for any other lawful business purpose. You also waive your moral rights in your submissions in our favor to the extent permitted by law.

Contributions created specifically for Paneah within the scope of a contractual relationship shall be deemed a “work made for hire” under Section 101 of the U.S. Copyright Act, with all copyrights belonging to Paneah LLC from creation. For other submissions not deemed work for hire, you irrevocably assign all proprietary rights to Paneah LLC.

 

5. Confidential Information and Member Materials

You acknowledge that certain content, videos, and materials made available through Paneah’s paid memberships (including Sword Edge), advisory sessions, and software products constitute the Confidential Information of Paneah LLC.

“Confidential Information” refers to information that is marked as “Confidential,” “Member-Only,” or “Proprietary,” or that we reasonably regard as proprietary or confidential, including but not limited to:

  • Member-only research reports, dashboards, and analyses
  • Methodologies, frameworks, and proprietary models
  • Internal trading or business strategies discussed in member sessions
  • Pre-publication newsletter content shared with members in advance
  • Software algorithms, prompts, and AI configurations
  • Strategic guidance shared in advisory sessions

You agree to hold all Confidential Information in strict confidence and not to disclose, reproduce, distribute, or use it outside the scope of your personal use of the Services. You may not republish, share, broadcast, livestream, screen-record, or post Confidential Information on social media, public forums, or other platforms.

The confidentiality obligation does not apply to information that: (i) must be disclosed to comply with a legal requirement or court order; (ii) was already known to you prior to receiving it from Paneah, as documented; (iii) is or becomes generally available to the public through no act or omission of yours; or (iv) is made available free of restriction by an authorized third party.

You acknowledge that unauthorized disclosure of Confidential Information may cause immediate and irreparable injury to Paneah and that, in the event of such breach, Paneah is entitled, in addition to any other remedies, to immediate injunctive and other equitable relief, without bond and without the necessity of showing actual monetary damages.

 

6. No Investment, Financial, Legal, or Tax Advice

PANEAH LLC, PAOLA VILLA, AND THEIR RESPECTIVE OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND AGENTS ARE NOT LICENSED INVESTMENT ADVISERS, BROKER-DEALERS, FINANCIAL ANALYSTS, ATTORNEYS, OR TAX PROFESSIONALS, NOR ARE THEY MEMBERS OF ANY FINANCIAL ADVISORY OR RESEARCH GROUP. NOTHING ON THIS SITE OR IN ANY PRODUCT, NEWSLETTER, MEMBERSHIP, ADVISORY SESSION, SOFTWARE OUTPUT, OR COMMUNICATION CONSTITUTES INVESTMENT ADVICE, FINANCIAL ADVICE, LEGAL ADVICE, OR TAX ADVICE.

All content, commentary, analysis, research, reports, newsletters, educational materials, advisory sessions, software outputs, and other deliverables are provided for general informational and educational purposes only. They reflect personal analysis, independent research, and educational commentary in the tradition of economic publishing and journalism.

7. Advisory Sessions

Direct advisory sessions are available through paolavilla.com/advisory and are educational and strategic in nature. By booking and participating in a session, you expressly acknowledge and agree that:

  • The session does not create a fiduciary relationship, professional-client relationship, attorney-client relationship, investment advisory relationship, or any other relationship regulated by law
  • Paola Villa is not acting as your registered investment advisor, attorney, financial planner, or tax professional in connection with any session
  • Information shared is for your general education, situational awareness, and strategic perspective only
  • You are solely responsible for any decision or outcome arising from the session
  • Sessions may not be recorded, reproduced, distributed, or shared by the client through any means without express prior written consent from Paneah LLC
  • Payment is collected at booking and is subject to our Refund Policy
  • Sessions are personal advisory only; organizational-level engagements are governed by separate Consulting Services Agreements through Paneah

 

8. Digital Products

Digital products available through the Services — including e-books, spreadsheet dashboards, prayer journals, Bible studies, formation tools, templates, downloadable reports, and similar materials — are licensed for your personal, non-commercial use only.

Upon purchase:

  • You receive a limited, non-exclusive, non-transferable license to use the product for personal use
  • You may not resell, share, redistribute, sublicense, modify and redistribute, or publish any digital product
  • You may not use any digital product or its content to train AI systems
  • Refunds are subject to our Refund Policy

 

9. Sword Edge Membership and Other Subscription Memberships

Paneah offers and will offer subscription-based memberships, including the Sword Edge membership platform (currently in waitlist phase) and future memberships providing economic, financial, geopolitical, intelligence, and educational content.

By joining a Paneah membership, you acknowledge and agree that:

  • All membership content — including written analyses, video commentary, data visualizations, model frameworks, economic forecasts, market commentary, and other materials — is provided for educational and informational purposes only
  • Membership content does not constitute investment advice, financial advice, securities recommendations, tax advice, or legal advice
  • Paneah LLC and Paola Villa are not registered investment advisors; nothing in any membership creates a fiduciary or advisory relationship
  • Any trading results, economic projections, performance figures, or case studies referenced in any membership are personal results or illustrative examples and are not typical, not guaranteed, and not a representation that any subscriber will obtain similar results
  • You are solely responsible for evaluating membership content and making your own decisions; you should consult licensed professionals before acting on any membership content
  • Membership content is licensed for your personal use only and constitutes Confidential Information (see Section 5) — you may not share login credentials, redistribute content, post member-only materials publicly, or use member content to train AI systems
  • Membership fees are billed as described at signup; cancellation and refund terms are governed by our Refund Policy
  • Paneah reserves the right to modify, restructure, suspend, or discontinue any membership feature, pricing, or content with reasonable notice
  • Joining a waitlist does not entitle you to membership access, guaranteed pricing, or any specific feature; it indicates interest only

 

10. Software and Subscription Products

Paneah develops and will offer software products and subscription platforms — including data aggregation tools, intelligence dashboards, financial data interfaces, and AI-powered research tools — that may integrate APIs and data feeds from third-party sources such as the Federal Reserve, government databases, market data providers, and other public or licensed data sources.

By accessing or subscribing to any Paneah software product, you acknowledge and agree that:

  • The software is provided for informational, educational, and analytical purposes only
  • Data displayed within the software is aggregated from third-party sources; Paneah does not warrant the accuracy, completeness, timeliness, or reliability of third-party data
  • You are solely responsible for independently verifying any data, output, or analysis with original sources before relying on it for any decision
  • Software outputs do not constitute investment advice, financial advice, or any other regulated professional service
  • AI-generated outputs are based on probabilistic models and may contain errors, omissions, or inaccuracies
  • You may not reverse-engineer, copy, or extract data, code, models, or proprietary methods from the software
  • You may not use software outputs to train competing AI systems or to develop derivative commercial products
  • Use of integrated third-party APIs is subject to those providers’ terms of service; some data may be subject to additional licensing restrictions
  • Software subscriptions are billed on the terms specified at signup; cancellation and refund terms are governed by our Refund Policy
  • Paneah may modify, update, or discontinue software features at any time

IMPORTANT: Paneah’s software products are tools for accessing, organizing, and analyzing publicly available financial and economic data. They do not provide personalized investment recommendations and do not replace the judgment of licensed financial professionals.

 

11. Online Transactions

When you purchase products or services through the Site, you agree to:

  • Provide accurate, current, and complete information
  • Be financially responsible for all purchases made by you or anyone acting on your behalf
  • Use the Site only for legitimate, non-fraudulent purposes
  • Have legal authority to purchase goods or services for third parties when applicable

Refunds, when applicable, are governed by our Refund Policy. We are not responsible for the quality, accuracy, timeliness, or reliability of any third-party merchant services or products.

 

12. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose
  • Submit false, misleading, or fraudulent information
  • Impersonate any person or entity
  • Interfere with or disrupt the Services or servers connected to the Services
  • Upload viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to any portion of the Services
  • Use the Services to harass, abuse, stalk, defame, or threaten any person
  • Use the Services in any manner that could damage the reputation of Paneah, Paola Villa, or their affiliates
  • Use the Services to send unsolicited commercial messages or to gather contact information for marketing
  • Encourage or instigate illegal activity
  • Post unlawful, threatening, abusive, obscene, defamatory, or invasive content
  • Use the Services to advertise, solicit, or distribute commercial materials without our written approval

 

13. Interactive Features and User Content

The Site may include forums, comment sections, community features, or messaging services. You alone are responsible for material you post. We do not control, review, or endorse user-generated content.

Paneah reserves the right to:

  • Remove or refuse to post any content at any time for any reason
  • Disclose user information when required by law or to protect our rights
  • Monitor, edit, or alter user content at our sole discretion
  • Suspend or terminate access for violations of these Terms

 

14. Third-Party Links and Content

The Site may link to third-party websites and services. We do not endorse, operate, or control these sites and are not responsible for their content, accuracy, privacy practices, or terms.

 

15. Disclaimer of Warranties

ALL CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PANEAH LLC DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY CONTENT, ANALYSIS, OUTPUT, OR DATA AVAILABLE THROUGH THE SERVICES.

 

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PANEAH LLC, PAOLA VILLA, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF BUSINESS OPPORTUNITY, EMOTIONAL DISTRESS, OR ECONOMIC LOSS — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF PANEAH LLC EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PANEAH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You acknowledge that Paneah has set its prices and entered into these Terms in reliance upon these limitations of liability, which form an essential basis of the bargain between you and us. Some jurisdictions do not permit limitation of liability, in which case the above limitations apply to the fullest extent permitted.

 

17. Indemnification

You agree to defend, indemnify, and hold harmless Paneah LLC, Paola Villa, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Services
  • Your submission of any content or material
  • Your violation of any applicable law or third-party right
  • Your decisions or actions based on Services content

19. Privacy Policy

Your use of the Services is subject to our Privacy Policy. Please review it to understand our data collection, use, and sharing practices.

 

20. DMCA and Copyright

Paneah respects intellectual property rights. If you believe content on our Site infringes your copyright, please submit a notice to support@paneah.com. Detailed instructions are available in our DMCA Policy. The DMCA requires sworn statements made under penalty of perjury (18 U.S.C. § 1621); false notices may result in civil and criminal liability.

 

21. Force Majeure

Paneah is not responsible for failure or delay in the performance of any obligation under these Terms to the extent such failure or delay is due to acts of God, governmental authority, war, terrorism, civil unrest, strikes, boycotts, quarantine, pandemic, epidemic, labor disputes, fire, natural disaster, cyberattack, infrastructure failure, accident, or any other event beyond our reasonable control. Paneah will use commercially reasonable efforts to notify you of any such event.

 

22. Termination

Paneah reserves the right to suspend or terminate your access to the Services, with or without notice, for violation of these Terms or for any reason at our sole discretion. Upon termination, your license to use the Services immediately ceases. The provisions concerning intellectual property, confidential information, indemnification, disclaimers, limitations of liability, dispute resolution, and any other provisions intended to survive termination will continue in effect.

 

23. Statute of Limitations

You agree that, regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred to the extent permitted by applicable law.

 

24. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to conflict-of-law principles.

 

25. Dispute Resolution and Mandatory Arbitration

  1. Informal Resolution

Before initiating arbitration, you agree to first attempt to resolve any dispute informally by contacting Paneah at support@paneah.com. The parties will negotiate in good faith for thirty (30) days before any arbitration may be commenced.

  1. Binding Arbitration

Except as otherwise provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved through informal negotiation will be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in Atlanta, Georgia, before a single neutral arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

  1. Class Action Waiver

YOU AND PANEAH AGREE THAT ANY DISPUTE WILL BE BROUGHT ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

  1. Batch Arbitration

If twenty-five (25) or more individual arbitration demands of substantially similar nature are filed against Paneah by claimants represented by the same law firm or group of law firms within a thirty (30) day period, AAA shall administer those demands in batches of up to 100 demands per batch. A single arbitrator shall be appointed for each batch unless the parties agree otherwise. The parties shall cooperate in good faith with AAA to implement batch processing, including the payment of single filing and administrative fees per side per batch, with one procedural calendar and one hearing per batch. This provision does not authorize class or consolidated arbitration; each claimant shall receive an individual award.

  1. 30-Day Opt-Out Right

You have the right to opt out of the binding arbitration and class action waiver provisions of this Section by sending written notice to support@paneah.com within thirty (30) days of first accepting these Terms. Your notice must include your full name, email address, and a clear statement of your intent to opt out of binding arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Atlanta, Georgia, and you and Paneah consent to the exclusive jurisdiction of those courts.

  1. Waiver of Jury Trial

TO THE EXTENT PERMITTED BY LAW, YOU AND PANEAH WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

  1. Exceptions

Nothing in this Section prevents either party from (i) seeking injunctive or other equitable relief in court for actual or threatened infringement of intellectual property rights or violations of the Confidential Information provisions, or (ii) bringing a qualifying claim in small claims court.

 

26. Severability

If any provision of these Terms (other than the Class Action Waiver) is found unlawful or unenforceable, that provision is severed and the remainder of these Terms remain in full force and effect. If the Class Action Waiver is found unenforceable, the dispute shall be decided in the courts of Atlanta, Georgia.

 

27. Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. Paneah may freely assign its rights and obligations to any affiliate, successor, or acquirer.

 

28. Entire Agreement

These Terms, together with the Privacy Policy, Earnings Disclaimer, Refund Policy, DMCA Policy, and any product-specific agreements, constitute the entire agreement between you and Paneah LLC regarding your use of the Services and supersede all prior agreements and understandings.
