Controlling Law

This Agreement and any disputes arising from it shall be governed by the laws of the State of Georgia, without regard to its conflict of laws principles.

Binding Arbitration

In the event of any dispute relating to this Agreement, the Site, or its Content, either party may elect to resolve the dispute exclusively through binding arbitration under the Federal Arbitration Act (“FAA”). By choosing arbitration, neither party will have the right to litigate the claim in court or to have a jury trial, except for claims that may be brought in small claims court. Arbitration differs from court litigation, with more limited discovery and appeal rights. The arbitration will be conducted by a neutral arbitrator and administered by JAMS in accordance with its Comprehensive Arbitration Rules. Each party will bear their share of JAMS filing and administrative fees. This section does not preclude seeking provisional relief from a court of competent jurisdiction.

The arbitration may be conducted in person, by telephone, online, or based on written submissions. The arbitration venue will be the county where you reside. The parties agree to cooperate in good faith to facilitate the informal and voluntary exchange of relevant documents and information.

Class Action Waiver

You agree that any arbitration or proceeding will be limited to the dispute between us and you individually. You waive the right to participate in a class action or similar collective legal proceeding.

Equitable Relief

You acknowledge that a breach of our intellectual property rights or misuse of confidential information may cause irreparable harm for which monetary damages may be inadequate. In such cases, Paola Villa, LLC reserves the right to seek equitable relief in any court of competent jurisdiction.

Miscellaneous

Our failure to enforce any part of this Agreement does not waive our right to enforce that or any other provision. Any waiver must be in writing to be effective. This Agreement represents the entire agreement between you and Paola Villa, LLC and supersedes any previous agreements. The section headings are for convenience only and hold no legal significance. This Agreement benefits and is binding on our successors, assigns, licensees, and sublicensees.
